Joint Stock Company in Bangladesh is widely called as RJSC and RJSC represents The Registrar of Joint Stock Companies and Firms. It is the sole power to Incorporate Public Limited Company, Privet Limited Company, Partnership Firm, Foreign Company, Society & Trade Organization in Bangladesh.

Joint Stock Company deals to Incorporate Companies, Societies, Partnership Firms as well as Trade Organizations and enforce lawful administration of the entities under the provision of applicable Act as follows:

Companies Act : 1994
Societies Registration Act : 1860
Partnership Registration Act : 1932

Joint Stock Company dealings:

The dealings of Joint Stock Companies is to register Companies, Trade Organizations, Societies and Partnership Firms as well as Foreign Companies under the pertinent Companies Act : 1994, Partnership Act: 1932 and Society Registration Act: 1860.

Joint Stock Companies works is split into the following major steps:

Name Clearance:

It is the first step for registration a Company, Partnership Firm, Trade Organization, or a Society. Entrepreneur who has need an entity (it may Company, Partnership Firm, Trade Organization, Society whatever it is) apply for and Joint Stock Company authority approves Name Clearance for the applied name which is not nearly match or similar with name/s which are previously taken.

Registration:

It is the second step for registration of an entity to Joint Stock Companies in Bangladesh. A promoter of a new Company who has previously taken a Name Clearance he can apply for registration. There are few steps for registering a Company, those are follows:

  1. To prepare a Memorandum of Association (MoA)
  2. To prepare a Articles of Association (AoA)
  3. Duly signed MoA, AoA & Form –lX and properly submit it online.
  4. Make Payment of Registration fees at schedule Commercial Bank.

Return Filling:

There are two types of returns usually filling to the Joint Stock Company. One of them is Annual Returns and other is Entity change Returns. If anybody apply for any of above return he should files return in prescribed forms and schedules, and upon satisfaction RJSC grants and archives this records.

Issuance of Certified Copies:

Anyone can apply for Certified Copies of an entity if needed. After granting such application and also payment confirmation Joint Stock Company issue Certified Copy from its archives. But only authorized person can get Profit & Loss Account for particular entity.

Winding Up:

For various types of causes an entity may require Winding Up. There are mainly two ways to The Registrar of Joint Stock Companies & Firms for winding up an entity:
Winding Up by Court
Voluntary Winding Up

Struck Off:

If the Registrar of Joint Stock Companies has reasonable grounds to believe that a company is not operating the business as well, then he sends to the company a notice (Called 1st notice) inquiring whether the company is operating the business or not.

Within the stipulated 30 days if the Registrar does not receive any answer of the 1st notice, he shall send 2nd notice to the company within 14 days (after expire said 30 days) stating that within 30 days if not received any reply to the 2nd notice from the date thereof, a notice will be published that the Company name will Striking Off from the Joint Stock Companies Register.
